These Terms of Service (the “Terms”) govern access to and use of wilkesliberty.com (the “Site”), which is operated by Wilkes & Liberty, LLC (“Wilkes & Liberty,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms cover the public Site only. They do not create a professional-services engagement, a platform license, a support obligation, or a service level. Any engagement, deployment, or other paid work requires a separate written agreement or statement of work signed by Wilkes & Liberty.
1. Eligibility
The Site is for people 18 years of age or older. By using the Site, you represent that you are 18 or older and that you have the legal capacity to agree to these Terms. Do not use the Site if you are under 18.
2. The Site
The Site describes Wilkes & Liberty, our practices, and our platforms. It also provides public doors to contact us, open a ticket, begin a readiness assessment, apply for a role, request an account, or sign in.
We do not sell platform seats on the Site. We do not offer self-serve signup.
We may change, suspend, limit, or discontinue any part of the Site at any time, with or without notice. We have no duty to maintain, update, or support the public Site.
3. Accounts
You may request an account at /login/request. We decide whether to grant access. An administrator creates the account if we grant it.
Sign-in uses your work email, then our identity provider. We do not promise that a request will be approved. These Terms do not entitle you to an account.
If an account is granted to you, you are responsible for activity on that account. Tell us promptly if you believe it was used without your authority. We may suspend or end an account at any time.
4. License and acceptable use
We grant you a limited, revocable, non-exclusive, non-transferable permission to access and use the Site for lawful informational purposes, subject to these Terms. We do not grant you a license to any platform, software, model, dataset, or other work except the right to view the public Site.
You may not:
- scrape, crawl, harvest, or index the Site by automated means except as a public search engine may do in the ordinary course;
- interfere with or disrupt the Site, its security, or other users;
- send malware, unsolicited bulk messages, or other abusive traffic;
- attempt unauthorized access to any system, account, or data;
- impersonate any person or misrepresent your affiliation;
- collect personal information of others from the Site;
- copy, reproduce, or publish Site content for public distribution without our prior written permission;
- use the Site in violation of applicable law.
We may investigate suspected violations and may cooperate with law enforcement.
5. Intellectual property
The Site and its content are the property of Wilkes & Liberty, LLC or its licensors. Platform names, practice names, marks, and logos that appear on the Site are ours or are used with permission. Access to the Site does not grant you any right, title, or license in those names, marks, logos, or other intellectual property, except the limited permission in section 4.
If you send us comments, ideas, or other feedback about the Site, you grant us a perpetual, irrevocable, royalty-free right to use that feedback for any purpose without credit or payment to you.
6. Privacy
Use of the Site is also governed by our Privacy Policy. If these Terms and the Privacy Policy conflict on the handling of personal information, the Privacy Policy controls.
Cookies and similar technologies are described in our Cookie Policy.
7. Third-party sites
The Site may contain links to sites we do not operate. We do not control those sites and we are not responsible for their content, terms, or privacy practices. A link is not an endorsement. If you leave the Site, the terms and privacy practices of the site you visit apply.
A third party’s link to the Site is not an endorsement by us, and does not make that party our agent.
8. No professional advice
Content on the Site is for general information. It is not legal, engineering, security, investment, or other professional advice, and it is not an offer to sell or a solicitation to buy any security, product, or service. Do not rely on the Site as a substitute for a written engagement.
9. Disclaimer of warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILKES & LIBERTY, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site or its content will be accurate, complete, current, uninterrupted, secure, or free of errors or harmful components. You use the Site at your own risk.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILKES & LIBERTY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT AS STATED IN THE NEXT PARAGRAPH, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). That figure is a limit on Site-use claims. It is not a price, a fee, or an offer.
The US $100 cap does not apply to a career application submitted through the Site, or to client login. Those doors are not treated as ordinary use of the public Site for purposes of that cap.
Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the fullest extent the law allows.
11. Indemnity
You will defend, indemnify, and hold harmless Wilkes & Liberty, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
12. Termination
These Terms apply while you use the Site. We may suspend or end your access at any time, including if we believe you have violated these Terms. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
13. Changes
We may revise these Terms at any time. We will post the revised Terms on this page and update the effective date. Your continued use of the Site after a change is your acceptance of the revised Terms. If you do not agree, stop using the Site.
14. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. You agree that the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to personal jurisdiction in those courts.
15. General
These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and Wilkes & Liberty for use of the public Site. They supersede any prior or contemporaneous terms for that use. They do not supersede a signed engagement agreement or statement of work.
If a court finds any provision unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them in connection with a reorganization or transfer of the business.
